CONDITIONS

— 01 — SAMPLES —

Samples

Customers may request samples before placing a production order. Samples available in stock will be prepared for shipment within approximately 5 working days, subject to availability. Once the available sample stock has been exhausted, samples will need to be produced and the applicable production lead time will be communicated accordingly. Payment for samples: • Samples available in stock must be paid in full before shipment from Tunisia. • If samples need to be produced, a 50% deposit is required upon confirmation, with the remaining 50% balance due before shipment from Tunisia. Sample cost reimbursement: In the event of a subsequent production order: • 100% of the sample cost will be deducted from the order invoice for orders exceeding €5,000. • 50% of the sample cost will be deducted from the order invoice for orders below €5,000. Sample shipping costs are excluded from the reimbursement.

— 02 — WHOLESALE ORDERS —

Wholesale Orders

Drugstore 94 does not impose minimum order quantities. However, we encourage our partners to build a balanced and representative selection across the chosen styles, with quantities appropriate to their retail needs. Our aim is to create assortments that are commercially meaningful for both the retailer and Drugstore 94.

— 03 — PAYMENT TERMS —

Payment Terms

Unless otherwise agreed in writing: • 50% deposit upon order confirmation • 50% balance before shipment / against agreed shipping documents For specific orders or customers, payment by Irrevocable Letter of Credit (L/C) may be agreed in advance. Production begins only after receipt of the required deposit and final confirmation of the order.

— 04 — PRODUCTION & DELIVERY LEAD TIMES —

Production & Delivery Lead Times

Drugstore 94 works primarily on a made-to-order basis. Products are manufactured after order confirmation rather than being produced as seasonal bulk stock. Indicative production lead times: • Textile & Apparel: approximately 8–12 weeks • Jewelry & Ceramics: approximately 10–14 weeks Lead times are calculated from final order confirmation and receipt of the agreed deposit. The indicated lead times are estimates and may vary depending on order quantities, material availability, product specifications and the artisanal nature of certain production processes. Drugstore 94 will confirm the expected delivery schedule for each order.

— 05 — SHIPPING TERMS —

Shipping Terms

All wholesale orders are supplied FOB Tunisia, unless otherwise agreed in writing. Under FOB terms, Drugstore 94 is responsible for the goods and the applicable export procedures up to the agreed point of shipment in Tunisia. International freight, insurance, import duties, customs clearance and any other costs arising after shipment are the responsibility of the buyer, unless otherwise agreed in writing.

— 06 — HANDCRAFTED PRODUCTS & NATURAL VARIATIONS —

Handcrafted Products & Natural Variations

Several Drugstore 94 products involve artisanal processes and hand-finishing. For this reason, slight variations in color, dimensions, decoration, embroidery, ceramic painting, finishing or other handcrafted details may occur. Such variations are considered part of the individual character of the product and are not considered defects, provided that they remain within Drugstore 94 quality standards.

— 07 — ORDER CONFIRMATION —

Order Confirmation

An order becomes binding once: • The order has been accepted and confirmed by Drugstore 94 • All product specifications, quantities and prices have been agreed • The required deposit has been received Any subsequent modification requested by the buyer may result in adjustments to production lead times and/or costs.

— 08 — QUALITY CONTROL —

Quality Control

All products undergo Drugstore 94 quality control before shipment. Upon request, clients may also inspect their order before shipment, either by video or through a visit by their appointed representative at our production platform in Tunisia.

— 09 — GENERAL CONDITIONS —

General Conditions

Prices, payment conditions, production times and shipping terms stated in the order confirmation prevail over any general indication contained in these Wholesale Terms & Conditions. Any exception or special commercial agreement must be confirmed in writing by Drugstore 94.
